Transfer of shares between Principion Holding B.V. and HIKO Holding B.V.

 

Amsterdam, 28 August 2024 – Azerion notes that Principion Holding B.V. (“Principion”) has notified the AFM of a transaction on the basis of article 5:38(1) Wft via the AFM Loket on 21 August 2024. Furthermore, HIKO Holding B.V. has notified the same transaction on the basis of article 5:38(1) Wft via the AFM Loket on the same date.

 

Further to the above mentioned filings, Azerion has been informed by Principion that HIKO Holding B.V. (“HIKO”) will step out as a shareholder of Principion and will be a direct shareholder of Azerion. HIKO is the investment vehicle of Salih Hikmet Cosgun, a member of Azerion’s founding team. As a result, and as notified to the AFM by those parties, 5,855,352 Azerion shares have been transferred to HIKO. This has led to a decrease of 4% in the Azerion shares held by Principion (now in total 18.43% held) and an increase of 4% in the Azerion shares held by HIKO (now in total 4% held).
